First of all , I would like to expouse the events of the case.

UTAL , is a company based in Ukraine , with offices in London.They purchased used phones from Dickens & Matson. Dickens & Matson , which is a mail order company which accepted the contract with UTAL.

The contract specified that the phones had to be “ two-piece push button phones with necessary cords , in good working and operating condition and they had to comply with the guidelines of of the Ukrainian telephone commission.

Dickens provided UTAL with samples that matched that type of phones.. A representative of Dickens testified that he had watched the packing of the phones and they conformed to the contract.

UTAL paid for the phones upon shipment.

Once the phones were unloaded , they checked that these phones didn´t match the contract , fax Dickens about this fact and rejected the shipment. UTAL sued for breach of contract .

An important issue is that the contract specified to be interpreted according to the law of England.

It ´s quite clear to define what the problem is , in this case , there is a clear breach of contract from Dickens .

I will also analize the posibilty of fraud by against UTAL by Dickens, Telpart


There is generally recognized principle which says that contracts that violate the laws of a state or nation are void and will not be enforced by a court .

I would like to mention the posibility of fraud against UTAL.

Dickinson also sent UTAL some samples goods and description for them.However in the shipment the phones were completly broken . Because of that , Dickinson Breached some implied conditions:
